Mitra's Group Pty Ltd (trading as Mitra's Trade Connect)
This Contractor Referral Agreement ("Agreement") is entered into between Mitra's Group Pty Ltd, trading as Mitra's Trade Connect ("Mitra's", "we", "us" or "the Company") and the person or entity using the Mitra's Trade Connect platform to engage a contractor ("you" or "Client"). By accessing or using the platform, you agree to be legally bound by this Agreement.
Mitra's Trade Connect is a trade coordination and referral platform operated by Mitra's Group Pty Ltd and does not provide, perform, supervise, or control any trade, construction, repair, maintenance, or professional services. The Company's sole role is to introduce and connect clients with independent contractors and to facilitate communication and job updates between them. All services are provided entirely by those contractors.
All contractors introduced through the platform are independent businesses and are not employees, agents, partners, representatives, or subcontractors of the Company. No employment, agency, partnership, joint venture or fiduciary relationship is created between the Company and any contractor or between the Company and the Client.
You acknowledge that all work, workmanship, safety, quality, compliance with law, and outcomes are the sole responsibility of the contractor you engage. The Company does not attend job sites, supervise work, or guarantee any services, pricing, timing or results.
While Mitra's Trade Connect may collect and verify contractor licences, insurance and documentation where reasonably possible, the Company does not guarantee that any contractor is licensed, insured or suitable for your job. You are responsible for independently confirming that any contractor you engage holds all required licences and insurance.
Any subcontractors engaged by a contractor are the sole responsibility of that contractor, and you agree that the Company bears no responsibility or liability in relation to any subcontracted work.
Unless otherwise agreed in writing, all payments for services are made directly between you and the contractor. The Company does not receive, hold or process payments on behalf of contractors and is not a party to any payment transaction or dispute.
At present, no administration or platform fees are charged to clients, however the Company reserves the right to introduce such fees in the future with prior notice. Any contractor commissions or system-generated invoices are handled through the platform for administrative and transparency purposes only.
You agree not to bypass Mitra's Trade Connect by directly engaging any contractor introduced through the platform for the same or similar services without the Company's prior written consent. This obligation continues during the engagement and for twelve months after it ends.
You agree to keep all contractor information, pricing, platform documents, templates and other Company information confidential and to use such information only for the purpose of engaging services through the platform.
You acknowledge that the Company is not responsible for the acts, omissions or negligence of any contractor. You agree to indemnify Mitra's Group Pty Ltd, its directors, officers and employees against any claims, losses, damages or legal actions arising from a contractor's work, conduct or failure to comply with the law.
Either party may terminate this Agreement by giving fourteen days' written notice. The Company may terminate immediately if you breach these terms, misuse confidential information, attempt to bypass the platform, or act in a way that may harm the Company's reputation or operations.
If a dispute arises, the parties agree to first attempt to resolve it in good faith. If it is not resolved within fourteen days, either party may refer the dispute to mediation in New South Wales before commencing court proceedings, except for urgent matters.
This Agreement is governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of the courts of that State.
You have no authority to bind or represent the Company in any way. All intellectual property, templates, platform data and contractor information remain the exclusive property of Mitra's Group Pty Ltd. The Company may refer alternative contractors or withdraw referrals if a contractor is unavailable or unsuitable.
By using the Mitra's Trade Connect platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
